Back I thought a null was a particular type of object (an object with no geometry), used as a placeholder for various things.
In the case of a .max, it is a scene file not an object file, but unlike a tS scene file that contains all the objects, the .max file says something along the lines of 'this object loaded from here gets positioned here, scaled like this' and ' a light goes here' but doesn't actually include the elements themselves. So if you load it into anything else, you get a set of point objects, which are the locators where other things would be loaded. This makes .max pretty much unusable except for with Max.
I could be wrong, someone will correct me if I am :)

Max files don't move well between apps, they are (as I understand it) not complete files with geometry and lighting contained in them, but rather specify that 'this object goes here, this goes there' without storing the object details. This means that a .max file pretty much doesn't convert or load into anything else, and not into tS, nor into the converter that I use. The route is to save it from Max in a different format, then import. Someone with more detailed knowledge might be able to add more than this :)
